These Terms and Conditions set forth the terms on which We, Optipro, will provide access to, and use of, the Website and other Services (as both defined below) to you, a user of the Services (“you” or “your”). By agreeing to these Terms and Conditions, or by otherwise accessing or using www.optipro.com.au (the “website”) or any other linked pages, landing pages, features, content, or application services offered from time to time by Optipro on or through the Website (“services”), You acknowledge and agree to be bound by these Terms and Conditions and our Privacy Policy (collectively, the “Optipro Terms”).

These Terms and Conditions were last updated on the 23rd of August 2022.

The website and these Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New South Wales.

1. Scope of Services

  1. Optipro is a directory website catering to the general public (“customers”), particularly those who are seeking eye care service providers and eye care products within Australia only. The directory website enables Customers to review the profiles of practices, book appointments with them, as well as message them.
  2. Optipro is a directory website and a marketing platform catering to optometrists and independent optical businesses that operate within Australia only. Optometrists need to apply as an Optipro Member to be part of our directory website. There are also other member benefits which are outlined here.
  3. Optipro is not a medical nor a health and wellness company. We do not provide any service, medication, or equipment to customers seeking medical, health, or wellness products or services. We only connect customers to optometrists.
  4. Optipro is not involved in any transactions between a customer and their chosen optometrist hence, the optometrist alone is responsible for the fulfilment of promised goods and services. On the other hand, when a customer books an appointment, it is a direct transaction with the optometrist hence, proper caution is advised.
  5. Booking cancellations, modifications, payments, refunds, and private health funds or Medicare claims are all between a customer and their chosen optometrist. Optipro will not be involved in any of these transactions.
  6. For disputes between a customer and an optometrist, Optipro will help facilitate communications between the two parties.
  7. Optipro has no control over and does not guarantee the following:
    1. the existence, quality, safety, suitability, or legality of any products or services listed within a profile;
    2. Last Name (required)
    3. the truth or accuracy of any product or service descriptions, ratings, reviews, or other practice Content (as defined below); or
    4. the performance or conduct of an Optipro Member.
    Hence, customers are advised to be cautious and exercise due diligence when booking an appointment with any of our members or when availing of any of their products and services from their physical store. We are in no way involved in these direct transactions between a customer and an optometrist.
  8. All Optipro Members have completed a relevant verification or identification process. However, their inclusion on the website should not be taken as an endorsement or guarantee coming from us.
  9. Member optometrists are not employees, suppliers, consultants, investors, or co-owners of the website. At the same time, Optipro is in no way involved in the operations and management of their practices.
  10. Due to the nature of the internet, Optipro cannot guarantee the continuous and uninterrupted availability and accessibility of the directory website. We will be performing website maintenance work from time to time, and we may restrict the availability of the entire platform or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the platform. We may improve, enhance, and modify the directory website and introduce new services or features from time to time. Notifications will be published across different communication channels prior to implementing service interruptions due to website maintenance work.

2. Use of the Directory Website, Eligibility, and Verification of Practice

  1. A customer must be at least 18 years old to be able to use the website to access its features, especially when booking an appointment or messaging a member optometrist or us. By accessing or using Optipro, you represent and warrant that you are 18 or older and have the legal capacity and authority to transact online.
  2. The website is to be used for lawful purposes. Optipro prohibits access to the directory website to:
    1. steal information from others;
    2. violate the rights of others;
    3. abuse, harm, or exploit children; and
    4. spread, solicit, or exchange information or any materials that are false, malicious, obscene, vulgar, hateful, discriminatory, or can be used as an accessory to cause harm or to commit a criminal act.
  3. We may limit a customer or an optometrist’s use and access to the website or any features of it if found to have committed the aforementioned.
  4. Users will comply with applicable laws within their state, including those related but not limited to online use, privacy and safety, electronic communications, fraud and abuse, cyber intelligence, and child protection and safety.
  5. Customers and optometrists are responsible for the security and confidentiality of their profile login details. Optipro, on the other hand, will never share your login details with any third-party group or to anyone not authorised by you.
  6. Computer viruses, computer or device malfunction, or any other issues resulting from accessing files or content from the website are outside our control. While we secure that the entire platform is safe and protected from any malicious files and content, we cannot guarantee the change in the characteristics of files during transmission. Upload and download information at your own risk.

3. Content

  1. Articles and blogs about eye care that are featured on the website are not actual prescriptions. Hence, always discuss eye health issues and concerns with an eye care professional. Do not replace or supplement their advice with the information that you read from our articles and blogs.
  2. To promote the Optipro directory website and to increase the exposure of our Members to potential customers, their profiles and other related Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. Agreeing to our Terms and Conditions gives us the rights to include you in our ongoing nationwide marketing campaigns.
  3. Optipro and other promotional materials, especially blogs and news articles, may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. We are not responsible or liable for the availability or accuracy of such Third-Party Services or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Optipro of such Third-Party Services.
  4. For Member optometrists, by publishing information on your Profile Page means that you are granting Optipro a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such content to provide and/or promote Optipro, in any media or platform. However, you maintain ownership over such content and will not be restricted by Optipro to use it for other promotional purposes.
  5. For Member optometrists, you warrant that the photos and texts published on your profile truly represent your business. Optipro may deactivate or suspend your profile should misinformation is confirmed.
  6. Customers must refrain from using foul, obscene, vulgar, or defamatory language when communicating with an optometrist. Any disputes and complaints should be dealt with using a direct approach. Issues should be reported to Optipro immediately for faster resolution.

4. Fees and Payments

  1. Optipro does not accept any payment from customers for services rendered by our Member optometrists.
  2. Setting up a Practice Profile follows any of the member joining requirements that are detailed here.

5. Indemnification

You agree to release, indemnify, and hold Optipro and its employees, management, and directors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  1. your breach of our Terms and Conditions;
  2. your improper use of the Optipro directory website;
  3. your improper observance of website, promo mechanics, and other activity regulations; or
  4. your interactions, including transactions and communications with another user of the website, whether as a customer or as an optometrist.
